These Terms of Service ("Terms") govern the use of the SUMS platform ("SUMS", "we", "our", "us").
SUMS is operated as a sole trader based in the United Kingdom and provides software services to business customers.
By accessing or using SUMS, you agree to these Terms.
2. Eligibility & Account Setup
SUMS is a business-to-business (B2B) platform and is only available to businesses and their authorised users.
Accounts are created and managed either by SUMS or by authorised representatives of the customer organisation.
You are responsible for:
- Ensuring authorised access only.
- Maintaining login security.
- Managing user roles and permissions within your organisation.
3. Service Scope
SUMS provides a platform for managing restaurant and operational workflows, including but not limited to:
Core Platform Functions
Sales and reporting, inventory and procurement, workforce management, financial insights and forecasting.
Data Processing Tools
Document and invoice processing, along with related operational workflows and platform features.
4. Customer Responsibilities
The customer, meaning your organisation, is responsible for:
- Ensuring data entered into SUMS is accurate.
- Complying with all applicable laws and regulations.
- Managing internal user access and permissions.
- Ensuring appropriate use of the platform.
You must not:
- Use SUMS for unlawful purposes.
- Attempt to access unauthorised data.
- Interfere with platform performance or security.
5. Data & Ownership
All data entered into SUMS remains the property of the customer.
SUMS acts as a data processor and does not claim ownership of customer data.
Customers retain full control over their data, including export and deletion rights.
6. AI & Third-Party Services
SUMS may utilise third-party services to provide functionality, including:
- AI processing, such as document extraction and automation.
- POS integrations.
- Cloud storage and infrastructure.
By using SUMS, you acknowledge that:
- Certain data may be processed by these services.
- These services operate under their own terms and security frameworks.
7. Availability & Support
SUMS aims to provide a reliable and continuously available service but does not guarantee uninterrupted access.
The platform may be unavailable due to:
- Maintenance.
- Updates.
- Infrastructure issues.
- Third-party service disruptions.
Support is provided on a reasonable efforts basis.
8. Fees & Payment (if applicable)
Where applicable:
- Pricing is agreed separately with the customer.
- Fees may be charged per site, per user, or per subscription.
- Payment terms are defined in commercial agreements.
9. Termination
Either party may terminate use of the platform:
- By agreement.
- In accordance with commercial terms.
- If there is a breach of these Terms.
Upon termination:
- Access to the platform may be removed.
- Customers may request data export.
- A full tenant data wipe can be performed upon request.
10. Liability
To the maximum extent permitted by law:
- SUMS is provided "as is".
- We are not liable for indirect, incidental, or consequential losses.
This includes, but is not limited to:
- Loss of revenue.
- Loss of data.
- Business interruption.
11. Security
SUMS implements appropriate security measures, including:
- Encryption of sensitive data.
- Role-based access control.
- Secure infrastructure hosting.
- Audit logging.
12. Changes to the Service
We may update or modify the platform at any time, including:
- Adding new features.
- Changing functionality.
- Removing features.
Where possible, we will provide reasonable notice of significant changes.
13. Changes to Terms
We may update these Terms from time to time.
Continued use of SUMS after updates constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes will be subject to the jurisdiction of the UK courts.
